5. Payment Terms
5.1 Retainer Plans
All retainer plans are invoiced monthly, with payment due before the 1st of each service month. Payment terms are net-7 from invoice date.
5.2 Prepay Discount
Clients who prepay 3 months in advance receive a 5% discount on the total retainer amount. The prepaid amount is non-refundable except as described in Section 10 (Termination).
5.3 Late Payments
Late payments are subject to interest at a rate of 1.5% per month on the outstanding balance. VideoEditingCompany reserves the right to pause all services for invoices that remain unpaid for 15 or more days past the due date. Services will resume upon receipt of full payment of outstanding amounts.
5.4 Project Add-Ons
Work outside the scope of your retainer plan is quoted and scoped separately via a Statement of Work. A 50% deposit is required before production begins on any add-on project. The remaining 50% is due upon delivery of the final files.
5.5 Accepted Payment Methods
We accept payment via bank transfer (wire/ACH), Fanbasis, Stripe, PayPal, and Wise. All prices are quoted in US Dollars (USD) unless otherwise agreed in writing.
6. Subscription & Commitment
All retainer plans operate on a month-to-month basis. There is no minimum commitment period. Either party may cancel the retainer with 30 days written notice. No refunds are provided for the unused portion of a billing period.
Clients who prepay 3 months receive a 5% discount. If a prepaid client cancels before the 3-month period ends, the discount is forfeited and the remaining balance is calculated at the standard monthly rate. Any overpayment after recalculation will be refunded within 30 days.
7. Intellectual Property
7.1 Client Ownership
Upon full payment, the client owns all final deliverables, including edited videos, thumbnails, captions, scripts, and content briefs created specifically for the client.
7.2 Video Editing Company Retained Rights
VideoEditingCompany retains ownership of:
- Raw project files (Adobe Premiere Pro, After Effects project files, working files)
- Original motion graphics templates, custom animation rigs, and reusable creative elements developed during production
- Internal processes, workflows, methodologies, and tools
Source fonts, stock footage, stock music, and other licensed assets used in production are licensed — not transferred — and are subject to their respective license terms.
7.3 Client Materials
You retain full ownership of all raw footage, brand assets, logos, and materials you provide to us. We will not use your raw footage for any purpose other than delivering services to you.
8. Portfolio, Case Studies & Showcase Rights
By engaging our services, you grant VideoEditingCompany and its affiliated entities (Increditors LLC and Increditors Marketing – FZCO) a non-exclusive, worldwide, royalty-free, perpetual license to:
- Display completed work (videos, thumbnails, graphics, and other deliverables) in our portfolio, website, case studies, and marketing materials
- Reference your company name, logo, and industry in case studies, client lists, and promotional content
- Share performance metrics and results (e.g., view counts, engagement rates, subscriber growth) in anonymized or attributed form
- Use work samples in sales presentations, pitch decks, and discovery calls with prospective clients
- Publish work samples on social media platforms (LinkedIn, YouTube, Instagram, X/Twitter) for promotional purposes
This license applies to both VideoEditingCompany and Increditors branded channels and materials.
Opt-out: You may opt out by notifying us in writing at [email protected] at any time. We will remove your materials within 30 days. Opting out does not affect the delivery of services or pricing.
Confidential projects: If your project is subject to a Non-Disclosure Agreement (NDA) or you request confidentiality, we will not feature any materials publicly without your explicit written consent.
9. Revisions
Each deliverable includes 2 rounds of revisions at no additional cost. Additional revision rounds are available at $200 per round.
Minor tweaks — including text corrections, color adjustments, and timing changes — are unlimited and do not count toward revision rounds.
Creative re-directions — new visual style, fundamentally different approach, or significant scope changes — are quoted separately as new work.
Revision requests must be submitted within 7 days of deliverable receipt. After 7 days, the deliverable is considered approved.
10. Termination
10.1 By Either Party
Either party may terminate the service agreement with 30 days written notice. A final invoice will be issued for all work completed up to the termination date.
10.2 For Cause
Either party may terminate immediately in the event of a material breach by the other party, provided the breaching party is given 15 days written notice to cure the breach. Material breaches include but are not limited to: non-payment, violation of confidentiality, or misuse of deliverables.
10.3 Upon Termination
- All paid-for final deliverables will be transferred to the client within 7 days
- Client access to project management tools, shared drives, and communication channels will be revoked within 7 days
- Raw project files will be retained for 90 days, after which they may be deleted
- Portfolio rights (Section 8) survive termination unless the client opts out in writing
- Confidentiality obligations (Section 12) survive termination indefinitely
11. Recording of Meetings & Calls
All meetings, discovery calls, and client communications conducted via video or audio call are recorded by VideoEditingCompany for quality assurance, training, accurate project documentation, and internal reference purposes. By participating in any call or meeting with us, you acknowledge and consent to such recording. We will notify you at the start of each recorded session.
Recordings are stored securely and accessible only to authorized team members. Recordings will not be shared publicly or with third parties without your explicit written consent.
With your prior written consent, we may use excerpts from recorded calls — including audio clips, transcribed quotes, and video snippets — as testimonials, case study quotes, or promotional content on our website, social media, and sales materials. You may withdraw this consent at any time by contacting us in writing.
12. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party during the course of the engagement, including but not limited to:
- Business strategies, financial information, and pricing
- Unreleased content, product plans, and brand assets
- Technical information, workflows, and proprietary processes
- Client lists, vendor relationships, and internal communications
Confidential information may only be disclosed to team members who need it to perform their duties. We will sign Non-Disclosure Agreements (NDAs) upon request. All VideoEditingCompany team members are bound by internal confidentiality agreements.
Confidentiality obligations survive the termination of these Terms indefinitely, except for information that becomes publicly available through no fault of the receiving party.
13. Non-Solicitation
During the term of the engagement and for 12 months following termination, the client agrees not to directly or indirectly solicit, hire, or engage any VideoEditingCompany team member (including editors, project managers, content strategists, and creative directors) who has been assigned to the client’s account.
If a client wishes to hire a Video Editing Company team member, a placement fee equal to 6 months of the team member’s compensation will apply. This clause does not restrict team members who independently apply to the client through public job postings without solicitation.
14. Subcontracting
VideoEditingCompany reserves the right to use subcontractors, freelancers, and affiliated entities (including Increditors LLC and Increditors Marketing – FZCO) to fulfill service obligations. All subcontractors are bound by confidentiality agreements and quality standards consistent with these Terms. We remain fully responsible for the quality and timeliness of all deliverables regardless of whether subcontractors are used.
15. Cross-Entity Operations
VideoEditingCompany operates as a division of Increditors. Your project may be serviced by team members employed by or contracted through either Increditors LLC (US) or Increditors Marketing – FZCO (UAE). Your data and project materials may be shared between these entities for the purposes of service delivery, quality assurance, billing, and operational coordination. All entities operate under the same quality standards and confidentiality obligations outlined in these Terms.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.
We are not liable for delays or failures in service delivery caused by the client’s failure to provide assets, feedback, or approvals on time.
18. Acceptable Use
You agree not to use our services or deliverables for:
- Any unlawful, fraudulent, or deceptive purpose
- Content that promotes violence, hatred, discrimination, or illegal activities
- Content that infringes on the intellectual property rights of third parties
- Misrepresenting the origin of deliverables (e.g., claiming AI-generated content as human-created when it is not, or vice versa)
- Any purpose that violates the terms of the platforms where content is published (YouTube, LinkedIn, etc.)
We reserve the right to refuse or discontinue work on any project that violates these acceptable use guidelines.
19. Guarantee
We guarantee that we will double your content output within 90 days. If we do not meet this guarantee, your 4th month of service is free. This guarantee is subject to the following conditions:
- Client provides raw footage on the agreed-upon schedule
- Client provides feedback on deliverables within 48 hours
- No significant scope changes are made during the guarantee period
- Client maintains an active retainer for the full 90-day period
The guarantee applies to retainer plans only and is measured against your content output at the start of the engagement. “Content output” is defined as the total number of published videos across all platforms.
20. Client Content & File Retention
- During engagement: All project files are stored securely on cloud platforms with access restricted to your assigned team members.
- After delivery: Final deliverables are provided to you via your preferred delivery method. Raw project files are retained for 90 days after final delivery, after which they may be permanently deleted.
- Extended storage: If you require project file retention beyond 90 days, this can be arranged for $50/month per project.
- Client responsibility: You are responsible for downloading and archiving all final deliverables. We are not liable for files deleted after the 90-day retention period.
21. Force Majeure
Neither party shall be liable for any delay or failure to perform obligations under these Terms due to events beyond reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, epidemic, internet outages, power failures, government actions, sanctions, or civil unrest. The affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact.

In the event of a dispute, the parties agree to:
- Negotiation: First attempt resolution through good faith negotiation for a period of 30 days.
- Mediation: If negotiation fails, submit to mediation before a mutually agreed-upon mediator.
- Arbitration/Litigation: If mediation fails, the dispute shall be submitted to the courts of the applicable jurisdiction based on the contracting entity (US courts for Increditors LLC; Dubai courts for Increditors Marketing – FZCO).
24. Modifications
VideoEditingCompany reserves the right to update or modify these Terms at any time. We will provide 30 days written notice of any material changes via email. Continued use of our services after the notice period constitutes acceptance of the modified Terms. If you do not agree with the changes, you may terminate your service agreement in accordance with Section 10.
25. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
26. Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by the waiving party.
27. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. VideoEditingCompany may assign these Terms to an affiliate or successor entity without your consent, provided the assignee assumes all obligations under these Terms.
28. Entire Agreement
